Introduction
Welcome to West Seattle PM. These Terms of Service ("Terms") govern your use of our property management services, website at westseattlepm.com, online portals, and all communications with our company. By engaging our services or using our website, you agree to be bound by these Terms.
Please read these Terms carefully. If you do not agree with any provision, you should not use our services or website.
These Terms should be read in conjunction with our Privacy Policy, which explains how we collect, use, and protect your personal information.
Definitions
For purposes of these Terms:

"Company," "we," "us," or "our" refers to West Seattle PM, a property management company based in Seattle, Washington. •
"Owner" or "Property Owner" refers to any individual or entity that enters into a property management agreement with us to manage residential rental property.

"Tenant" refers to any individual or entity that leases or rents a property managed by West Seattle PM.

"Services" refers to all property management services, including but not limited to tenant screening, lease execution, rent collection, maintenance coordination, property inspections, and owner reporting.

"Website" refers to westseattlepm.com and any associated online portals or platforms.
•
"User," "you," or "your" refers to any person or entity that uses our Services or Website, including property owners, tenants, prospective tenants, and website visitors.
Scope of Services
Property Management Services for Owners
West Seattle PM provides comprehensive property management services to property owners under the terms of individual Property Management Agreements. Services typically include:
• Marketing vacant properties and advertising available units
•
Tenant screening, including background checks, credit reports, employment verification, and rental history verification
• Lease preparation, execution, and renewal
• Rent collection and owner disbursements
• Maintenance coordination and emergency repairs • Property inspections (move-in, move-out, and periodic) • Tenant communications and conflict resolution
• Compliance with federal, state, and local landlord-tenant laws • Financial reporting and record-keeping
• Eviction proceedings when necessary
Specific services, fees, authority levels, and terms are detailed in the individual Property Management Agreement executed between the Owner and West Seattle PM.
Services for Tenants
For tenants residing in properties we manage, we provide:
• Lease administration and enforcement
• Maintenance request processing and coordination • Online rent payment portals
•
Communication regarding property matters, lease obligations, and notices
• Move-out coordination and security deposit accounting
Eligibility and Account Requirements
Age Requirement
You must be at least 18 years of age to enter into a binding contract with West Seattle PM. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
Account Creation
To access certain features of our Services, including online portals, you may be required to create an account. When creating an account, you agree to:
• Provide accurate, current, and complete information

Maintain and update your information to keep it accurate and current
•
Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized use of your account

Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that provide false, inaccurate, or misleading information, or that violate these Terms.
Property Management Agreements
Binding Contract
Property owners who engage West Seattle PM enter into a separate Property Management Agreement that governs the specific terms of our management relationship, including:
• Scope of management authority and services
• Management fees, leasing fees, and other compensation • Term of agreement and termination provisions
• Spending authority and approval thresholds
• Owner and manager responsibilities
• Insurance and liability provisions
• Compliance obligations
• Reporting and accounting requirements
The Property Management Agreement, together with these Terms of Service, constitute the complete agreement between the property owner and West Seattle PM.
Authority and Fiduciary Duty
When West Seattle PM manages a property, we act as the agent of the property owner within the scope of authority granted in the Property Management Agreement. We have a fiduciary duty to act in the best interests of the owner while complying with all applicable laws and regulations, including fair housing laws and landlord-tenant statutes.
Lease Agreements
Tenant Obligations
Tenants who lease properties managed by West Seattle PM enter into separate Lease Agreements that govern the rental relationship. By signing a lease for a property we manage, tenants agree to:
• Pay rent in full and on time as specified in the lease

Maintain the property in good condition and report maintenance issues promptly
• Comply with all lease terms, property rules, and applicable laws • Provide proper notice before vacating the property

Allow access for inspections and repairs as required by law and the lease
• Not engage in illegal activities or disturb other residents
Lease Enforcement
West Seattle PM is authorized by property owners to enforce lease terms and take appropriate action for lease violations, including issuing notices, assessing late fees, and initiating eviction proceedings when necessary and in accordance with Washington State law.
Fees and Payment Terms
Property Management Fees
Property owners compensate West Seattle PM as specified in the Property Management Agreement. Typical fees include:

Management fee (percentage of collected rent or flat monthly fee)
• Leasing fee for new tenant placement
• Lease renewal fees
• Coordination fees for maintenance and repairs
• Other fees for specific services as outlined in the agreement
All fees are earned upon performance of the services and are non refundable unless otherwise specified in writing.
Tenant Rent and Fees
Tenants are obligated to pay rent and any applicable fees as specified in their Lease Agreement, including:
• Monthly rent
• Security deposits and pet deposits
• Late fees for overdue rent payments
• Returned payment fees
• Lease violation fees
• Utility charges (if applicable)
Payment Methods
We accept payment via:
• Online portal (ACH/eCheck, debit card, credit card)
• Check or money order
• Direct deposit or wire transfer
Payment processing fees may apply for certain payment methods and will be disclosed at the time of payment.
Late Payments
Late rent payments are subject to late fees as specified in the applicable Lease Agreement and in accordance with Washington State law (RCW 59.18.060). Late fees will not exceed the maximum amounts permitted by law.
Collections
Unpaid rent, fees, and damages may be subject to collection efforts, including reporting to credit bureaus, engagement of collection agencies, and legal action. Tenants and owners are responsible for all costs of collection, including reasonable attorney's fees, to the extent permitted by law and the applicable agreement.
Website and Online Portal Use
Acceptable Use
You agree to use our Website and online portals only for lawful purposes and in accordance with these Terms. You agree not to:
• Violate any applicable laws or regulations

Infringe on intellectual property rights of West Seattle PM or third parties
• Transmit viruses, malware, or other harmful code • Attempt unauthorized access to our systems or networks • Interfere with or disrupt the operation of the Website

Harvest or collect information about other users without consent
•
Impersonate any person or entity or misrepresent your affiliation
•
Use automated systems (bots, scrapers) to access the Website without permission
• Post or transmit offensive, abusive, or defamatory content
Intellectual Property
All content on our Website, including text, graphics, logos, images, software, and design, is the property of West Seattle PM or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from our content without express written permission.
User-Generated Content
If you submit content to our Website or portals (such as maintenance requests, reviews, or messages), you grant us a non-exclusive, royalty-free, perpetual license to use, reproduce, and display that content for business purposes. You represent that any content you submit does not violate the rights of third parties and complies with these Terms.
SMS Text Message Terms
Consent to Receive SMS Messages
By providing your mobile phone number and opting in to receive SMS text messages from West Seattle PM, you expressly consent to receive automated text messages from us at the number you provided. These messages may include:

Transactional messages related to your lease, rent payments, or maintenance requests
•
Service notifications about property access, inspections, or urgent matters
• Appointment reminders and confirmations
•
Marketing and promotional messages (only if you explicitly opt in to promotional communications)
Message Frequency and Charges
Message frequency varies depending on your interaction with our services. You may receive transactional messages as needed for property management matters. If you opt in to marketing messages, you will receive no more than 4 promotional messages per month.
Standard message and data rates may apply based on your mobile carrier's plan. West Seattle PM is not responsible for carrier charges you may incur.
Opt-Out Rights
You may opt out of SMS communications at any time by:
• Replying "STOP" to any text message from us

Updating your communication preferences in your tenant or owner portal
We will process your opt-out request immediately or within 24 hours. After opting out, you will receive one final confirmation message. Note that opting out of SMS does not opt you out of other necessary communications via email or postal mail related to your lease or management agreement obligations.
TCPA Compliance
Our SMS communications comply with the Telephone Consumer Protection Act (TCPA) and CTIA Messaging Principles. We obtain express written consent before sending marketing messages, honor all opt-out requests promptly, and do not send messages outside the hours of 8:00 AM to 9:00 PM in your local time zone unless for emergency purposes.
SMS Service Provider
We use Twilio as our SMS service provider. Message delivery and data transmission are subject to Twilio's terms and privacy policy at https://www.twilio.com/legal/privacy.
Fair Housing and Non-Discrimination
West Seattle PM is committed to compliance with all federal, state, and local fair housing laws, including:
• Fair Housing Act (Title VIII of the Civil Rights Act of 1968) • Americans with Disabilities Act (ADA)
• Washington Law Against Discrimination (RCW 49.60)
• Seattle and local municipal fair housing ordinances
We do not discriminate on the basis of race, color, national origin, religion, sex, familial status, disability, sexual orientation, gender identity, marital status, veteran status, source of income, or any other protected class.
All tenant screening criteria are applied uniformly and are based on legitimate business reasons related to tenancy qualifications.
Maintenance and Repairs
Tenant Responsibilities
Tenants are responsible for:
• Maintaining the property in clean and sanitary condition • Promptly reporting maintenance issues and damages • Using all utilities, appliances, and fixtures properly • Not causing damage beyond normal wear and tear • Allowing access for maintenance and repairs with proper notice
Property Owner Responsibilities
Property owners are responsible for:

Maintaining the property in habitable condition as required by Washington State law (RCW 59.18.060)
• Funding necessary repairs and maintenance
• Complying with building codes and safety regulations • Maintaining required property insurance
Emergency Maintenance
West Seattle PM is authorized to coordinate emergency repairs to protect the property and ensure tenant safety. Emergency repairs include situations involving water leaks, heating failures, electrical hazards, security breaches, or other conditions that pose immediate risk. Owners authorize us to approve emergency expenditures within reasonable limits as specified in the Property Management Agreement.
Inspections and Access
Property Inspections
West Seattle PM conducts property inspections in accordance with Washington State law and lease agreements, including:
• Move-in inspections with tenants
• Periodic inspections (typically annually or as needed) • Move-out inspections
• Maintenance and repair inspections
Access to Property
Tenants must provide access to the property for inspections, repairs, and showings in accordance with Washington State law (RCW 59.18.150), which requires proper written notice except in emergencies. We will provide at least 2 days' written notice before entering the property unless immediate entry is necessary to prevent damage or for emergency repairs.
Security Deposits
Deposit Handling
Security deposits are held in accordance with Washington State law (RCW 59.18.260 - 59.18.285). Deposits are maintained in a separate trust account and are not commingled with operating funds.
Deposit Deductions
At the end of tenancy, security deposits may be used for:
• Unpaid rent
• Damages beyond normal wear and tear
• Unpaid utilities (if tenant-responsible)
• Cleaning necessary to restore the property to move-in condition

Other charges permitted under the lease and Washington State law
Deposit Return Timeline
In accordance with Washington State law (RCW 59.18.280), security deposit accounting and any refund will be provided to the tenant within 30 days after move-out, along with an itemized statement of any deductions.
Termination
Termination by Property Owner
Property owners may terminate the Property Management Agreement in accordance with the termination provisions specified in that agreement, typically requiring written notice (30, 60, or 90 days as specified). Early termination fees may apply as outlined in the agreement.
Termination by West Seattle PM
We reserve the right to terminate a Property Management Agreement or refuse services if:
• The owner violates the terms of the agreement
•
The owner fails to fund necessary repairs or maintain required insurance
•
The owner requests actions that violate fair housing laws or other regulations
• The property condition poses safety hazards
• Payment of management fees is delinquent
Termination by Tenant
Tenants may terminate their Lease Agreement in accordance with the terms of the lease and Washington State law. Early termination may result in penalties as specified in the lease, unless termination is for legally protected reasons (such as uninhabitable conditions, domestic violence protections, or military deployment under the Servicemembers Civil Relief Act).
Effect of Termination
Upon termination:
• All outstanding fees and obligations remain due
•
Property owners must arrange for transition of management responsibilities
• Tenants must vacate the property and return possession
•
Final accounting and return of deposits will be completed as required by law
•
Parties release each other from future obligations except those that survive termination
Liability and Indemnification
Limitation of Liability
To the maximum extent permitted by law, West Seattle PM's liability to property owners, tenants, or other users is limited to the amount of fees paid to us in the 12 months preceding the claim.
We are not liable for:
• Indirect, incidental, consequential, or punitive damages
•
Property damage caused by tenants, natural disasters, or third parties
•
Tenant defaults, unpaid rent, or property damage beyond our reasonable control
•
Delays or failures due to circumstances beyond our reasonable control (force majeure)
• Acts or omissions of third-party contractors or service providers • Website interruptions, errors, or data loss
Indemnification by Owners
Property owners agree to indemnify and hold harmless West Seattle PM, its employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising from:
• Property condition or defects
•
Owner's failure to maintain required insurance or comply with laws
• Owner's instructions that violate laws or regulations
•
Claims by tenants related to property condition or lease enforcement
This indemnification does not apply to claims arising from our gross negligence or willful misconduct.
Indemnification by Tenants
Tenants agree to indemnify and hold harmless West Seattle PM from claims arising from:
• Tenant's violation of the lease agreement
• Damage to the property caused by tenant or tenant's guests • Tenant's illegal activities or negligence
Insurance Requirements
Property owners are required to maintain adequate property insurance, including liability coverage. West Seattle PM maintains errors and omissions (E&O) insurance and general liability insurance. However, owners are responsible for property insurance, and tenants are responsible for renter's insurance for personal belongings.
Warranties and Disclaimers
Service "As Is"
Our services and website are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Guarantee of Results
While we use reasonable efforts to provide quality property management services, we do not guarantee:
• Continuous occupancy of rental properties
• Specific rental rates or income levels
• Tenant performance or compliance with lease terms • That properties will be free from damage or loss
• Uninterrupted or error-free website operation
Third-Party Services
We work with third-party service providers (contractors, screening companies, payment processors). We do not warrant the quality or performance of third-party services and are not responsible for their acts or omissions except to the extent of our duty to exercise reasonable care in their selection.
Dispute Resolution
Governing Law
These Terms and any disputes arising from them are governed by the laws of the State of Washington, without regard to conflict of law principles.
Jurisdiction and Venue
Any legal action arising from these Terms or our services must be brought in the state or federal courts located in King County, Washington. You consent to the personal jurisdiction of these courts.
Informal Resolution
Before initiating formal legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. Contact us at info@westseattlepm.com to initiate dispute resolution.
Arbitration (Optional)
If included in your specific Property Management Agreement or Lease Agreement, disputes may be subject to binding arbitration in accordance with the terms specified in those agreements.
Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action.
Privacy and Data Protection
The collection, use, and protection of your personal information are governed by our Privacy Policy, available at
westseattlepm.com/privacy-policy. By using our services, you consent to our privacy practices as described in that policy.

Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. If you do not agree with the changes, you must discontinue use of our services and terminate any agreements in accordance with their termination provisions.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them valid and enforceable while reflecting the original intent.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Any waiver must be in writing and signed by an authorized representative of West Seattle PM.
Entire Agreement
These Terms, together with our Privacy Policy and any applicable Property Management Agreement or Lease Agreement, constitute the entire agreement between you and West Seattle PM regarding the subject matter herein and supersede all prior agreements, understandings, and communications, whether written or oral.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights hereunder to a successor entity in connection with a merger, acquisition, or sale of assets.
Force Majeure
We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of God, war, terrorism, labor disputes, government actions, pandemics, utility failures, or internet disruptions.

All notices required under these Terms must be in writing and delivered via:
